Company Strategy
A recently organized Delaware blank check company incorporated on June 20, 2005 in order to serve as a vehicle for the acquisition of an operating business.

Product/Services Portfolio
The Company’s efforts in identifying a prospective target business will not be limited to a particular industry although the Company intends to focus on the industrial and consumer product sectors. The Company intends to utilize cash derived from the proceeds of the offering, its capital stock, debt or a combination of these in effecting a business combination. The Company will focus its efforts on seeking a business combination from corporate divestitures, private businesses and portfolio companies currently held by private equity firms specializing in leveraged buyouts.

To date, the Company has not selected or approached any target business on which to concentrate its search for a business combination. Subject to the limitations that a target business must have a fair market value as reasonably determined by the Company’s board of directors of at least 80% of its net assets at the time of the acquisition the Company will have virtually unrestricted flexibility in identifying and selecting a prospective acquisition candidate. Although the Company will focus on acquiring an operating business in the industrial or consumer products sector, it may acquire companies operating in any industry it chooses.

The Company anticipates that target business candidates will be brought to its attention from various unaffiliated sources, including investment bankers, venture capital funds, private equity funds, management buyout funds and other members of the financial community, who may present solicited or unsolicited proposals. The Company’s officers and directors as well as their affiliates may also bring to its attention target business candidates.

The structure of a particular business combination may take the form of a merger, capital stock exchange, asset acquisition or other similar structure. Although the Company has no commitments as of the date of the offering to issue its securities, it may issue a substantial number of additional shares of its common stock or preferred stock, a combination of common and preferred stock, or debt securities, to complete a business combination.
